This is an opportunity to join our Corporate Legal Department at the law offices in Oakville to work with clients that operate various kinds of businesses.
Job Title: EXPERIENCED JR Corporate Law Clerk/Legal Assistant
Job Requirements:
- Minimum of 2 years working experience as a corporate legal assistant or law clerk.
- Professional demeanor, attention to detail and strong organizational skills.
- Excellent verbal and written communication and inter-personal skills.
- Must be able to work independently, prioritize assignments, take initiative and work collaboratively.
- Available to work extended hours occasionally, if required.
- Experience with Microsoft Office is required. Experience with Appara, OnCorp and GhostPractice would be an asset.
Job Responsibilities:
- Performs legal clerical work for two or more lawyers.
- Preparing documentation in support of corporate transactions including but not limited to incorporations, articles of amendments, dissolutions, amalgamations, continuances, and redemption of shares.
- Review, maintenance and updating of corporate minute books including preparing general and annual corporate filings, director/officer changes, extra-provincial and business name registrations.
- Drafting documents pertaining to corporate tax reorganizations.
- Drafting of share and asset purchase agreements.
- Conducting corporate due diligence searches including but not limited to, PPSA, bankruptcy, litigation and execution.
- Maintain filing systems and Appara database including system and precedent updates.
- Open files, update client information and prepare invoices.
- Communications with clients, lawyers and public officials.
- Other clerical assistances as may be required.
